1. License, Not Ownership

You are purchasing a software license, not the software itself. The license grants you limited, non-exclusive, non-transferable rights to use the Collab Cowboy Toolkit on the server installation(s) set forth in your Order Form, each bound to a unique Hardware ID (HWID), for the license term. All intellectual property rights remain with Collab Cowboy LLC.

2. License Tiers & Limits

License tiers (Starter, Team, Enterprise, MSP) determine your usage limits for clusters, concurrent sessions, and phone counts. Specific limits applicable to your license are set forth in your Order Form and license record. Exceeding these limits may result in reduced functionality, license suspension, or true-up billing as described in the MSP Licensees section of the EULA. Upgrading to a higher tier is available at any time — contact support.

3. Activation & Hardware Binding

Your license is activated using a one-time activation code sent to your email after purchase. Activation binds your license to a specific server Hardware ID (or, for MSP licenses, to a Hub instance which authorizes Spoke instances). Each license may only be active on the server(s) authorized by your tier at any one time. To transfer a license to a different server, contact support.

4. License Term, Renewal, and Cancellation

  • Your license is valid for the term specified in your Order Form (typically one year from the date of activation). Some licenses bill on alternative intervals as set forth in the Order Form.
  • Renewal payments extend your license by the same term length.
  • If renewed while active, the new term is added to your current expiry date (stacked).
  • If renewed after expiry, the new term starts from the date of renewal payment.
  • You will receive email reminders at 30, 14, and 7 days before expiry.
  • After expiry, tools are disabled until renewal. Your data and configurations remain intact on your server.
  • To cancel renewal, you must notify support@collabcowboy.net at least 14 days before the renewal date. Your license remains active through the end of the paid term. No partial refunds are issued upon cancellation; see Section 5.

5. All Sales Are Final — No Refunds

All purchases are final and non-refundable. By completing this purchase, you acknowledge that:

  1. You have had the opportunity to review the product description, license tier limits, and these Terms before purchasing.
  2. You accept the software in its current state and functionality.
  3. The software is a professional tool capable of completing large-scale CUCM projects in hours — the value is delivered immediately upon activation, not over time.

No refunds, credits, or exchanges will be issued for any reason, including but not limited to: dissatisfaction with the software, failure to use the software, changes in your business needs, incompatibility with your environment, or completion of your project before the license term expires.

This no-refund policy is conspicuously disclosed here, at the point of sale, prior to purchase, as required by applicable law.

6. Payment Processing

Payments are processed securely by Stripe, Inc. Collab Cowboy LLC does not store your credit card information. By purchasing, you also agree to Stripe’s Terms of Service. All prices are in USD unless otherwise stated.

7. Taxes

Customer is responsible for any applicable sales, use, value-added, or other transaction taxes arising from this purchase, except for taxes imposed on Collab Cowboy LLC’s net income. Where required by law, Collab Cowboy LLC will collect taxes at point of payment via Stripe Tax. Tax-exempt customers (including non-profit, education, government, or reseller) must provide a valid exemption certificate before invoice issuance for tax to be waived. Quoted prices are exclusive of tax unless explicitly stated.

8. Data Collection

To operate and enforce licensing, the software collects and transmits the following to our servers:

  • Hardware ID (HWID) — a one-way SHA-256 hash of machine-id + hostname from your server. The original identifiers cannot be recovered from the hash.
  • IP address — recorded during license validation and check-ins
  • Phone count — the aggregate number of configured phones across your CUCM cluster(s) (count only — never the records). For MSP licenses, per-Spoke phone counts are also reported to the MSP’s Hub.
  • Cluster count — the number of CUCM and Unity Connection clusters configured
  • Tool usage — which tools are accessed (tool names only, not your CUCM data)
  • Software version — the version of the toolkit installed
  • Name and email — provided during EULA acceptance or purchase

We do NOT access, collect, transmit, or store any data from your Cisco CUCM, Unity Connection, or Expressway systems. All interactions between the toolkit and your Cisco systems occur locally on your server. We only see aggregate metadata (phone counts, tool names) — never phone numbers, user names, configurations, or call data.

This data is used solely for: license enforcement, product improvement, usage analytics, and customer support. We do not sell or share your data with third parties, and we do not use it to train machine-learning or artificial-intelligence models. See our Privacy Policy for retention details, your data subject rights (including GDPR and CCPA where applicable), and DPA availability.

9. No Warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL ENVIRONMENTS. THE SOFTWARE INTERACTS WITH THIRD-PARTY CISCO SYSTEMS — WE HAVE NO CONTROL OVER THOSE SYSTEMS.

YOU ARE RESPONSIBLE FOR BACKING UP YOUR CISCO SYSTEMS AND VERIFYING TOOL OUTPUT BEFORE COMMITTING CHANGES. Before each use — especially Phone Blitz, Cluster Buster, Line Shuffler, Outfitter, and Hijack — you must create a full backup of your CUCM, Unity Connection, and Expressway configurations using Cisco’s Disaster Recovery System (DRS) or an equivalent backup procedure. You are solely responsible for verifying any changes the software makes to your environment, and for maintaining adequate, restorable backups. Collab Cowboy LLC is not liable for any data loss, configuration corruption, service disruption, or other damage arising from your failure to verify output or maintain current backups.

10. Support and Service Levels

Collab Cowboy LLC will use commercially reasonable efforts to respond to support inquiries submitted to support@collabcowboy.net during U.S. business days (Monday–Friday, excluding U.S. federal holidays), Eastern Time. Tier-specific response-time targets are published on the Pricing page at collabcowboy.net and are non-binding service goals, not contractual SLAs, unless specifically incorporated into a written Order Form. Enterprise customers may negotiate binding service levels in their Order Form. The Company provides no warranty regarding uptime of license-validation, update-delivery, or marketing-site infrastructure; the Software is designed to operate autonomously on your systems. Trial users receive best-effort support only.

11. Indemnification

You agree to indemnify, defend, and hold harmless Collab Cowboy LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the software; (b) any changes made to your CUCM, Unity Connection, or Expressway systems through the software; (c) your violation of these Terms or the EULA; or (d) your violation of any applicable law or regulation.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLAB COWBOY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, SYSTEM DOWNTIME, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. License Enforcement & Revocation

We reserve the right to revoke or suspend any license for: violation of these terms, circumvention of licensing mechanisms, unauthorized redistribution, or fraudulent activity. Revocation is immediate and no refund is issued.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law provisions. Subject to the arbitration clause in Section 15, any dispute shall be resolved exclusively in the state courts of Pike County, Georgia, and you consent to personal jurisdiction and venue in those courts. Each party expressly waives any objection to venue or forum non conveniens. You waive the right to a jury trial and the right to participate in a class action.

15. Binding Arbitration

Except for claims for injunctive relief to protect intellectual property or confidential information, any dispute, claim, or controversy arising out of or relating to these Terms, your purchase, or the software shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be seated in Pike County, Georgia, by a single arbitrator. The arbitrator’s award shall be final and may be entered as a judgment in any court of competent jurisdiction. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs. Each party waives any right to participate in any class, collective, or representative arbitration.

16. No Agency; Limitation of Personal Liability

These Terms are between you and Collab Cowboy LLC as a Georgia limited liability company, and not with any individual member, manager, officer, employee, or agent of the Company. No member, manager, officer, employee, or agent of Collab Cowboy LLC shall be personally liable for any obligation, claim, damage, or liability under or arising from these Terms or the software. Your sole recourse is against the assets of Collab Cowboy LLC.

17. Force Majeure

Neither party shall be liable for any delay or failure to perform under these Terms (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, pandemics or public-health emergencies, internet or telecommunications failures, or failures of third-party services (including Cisco systems, hosting providers, and payment processors).

18. End User License Agreement

Use of the software is also governed by our full End User License Agreement (EULA), which is presented upon first use of the software and must be accepted before the software can be used. The EULA contains additional terms regarding restrictions, intellectual property, MSP licensee obligations and measurement, audit rights, indemnification, and data practices. In the event of a conflict between these purchase terms and the EULA, the EULA shall govern.

19. General Provisions

(a) These Terms, together with the EULA and the Privacy Policy, constitute the entire agreement between you and Collab Cowboy LLC regarding your purchase, and supersede all prior or contemporaneous communications. (b) If any provision is held unenforceable, the remaining provisions continue in full force, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable. (c) The Company’s failure to enforce any right does not constitute a waiver. (d) You may not assign these Terms without written consent; any attempted assignment without consent is void. (e) The Company may update these Terms at any time by posting a revised version on the website.
